§ 1 Scope

These General Terms and Conditions apply to contracts between VR T-POWER UG (haftungsbeschränkt), Heerstraße 339, 13593 Berlin, Germany, Managing Director: Zoran Malnar (hereinafter “VR T-POWER”), and consumers concerning goods, digital content and other services.

They apply in particular to contracts concluded via www.vr-tuning.com, www.vectortuning.com and other sales channels of VR T-POWER.

These General Terms and Conditions apply exclusively to consumers. Separate B2B/dealer terms and conditions apply to traders, dealers, workshops and other business customers.

§ 2 Definitions

A consumer is any natural person who enters into a legal transaction for purposes that can predominantly be attributed neither to their commercial nor to their self-employed professional activity.

A trader is a natural or legal person or a partnership with legal capacity who, when entering into a legal transaction, acts in the exercise of their commercial or self-employed professional activity.

“Goods” include in particular tuning boxes, electronic control and auxiliary units, wiring harnesses, adapters, sensors, accessories, spare parts and other vehicle components.

§ 3 Contracting party

The contracting party is: VR T-POWER UG (haftungsbeschränkt), Heerstraße 339, 13593 Berlin, Germany. Managing Director: Zoran Malnar. E-mail: info@vr-tuning.com. Telephone: +49 163 7066077.

§ 4 Contract language

The contract language available for the conclusion of the contract is, as a rule, German.

§ 5 Conclusion of the contract

Product presentations in online shops do not, as a rule, constitute a binding offer to conclude a contract, but an invitation to place an order.

By completing the ordering process, the customer submits a binding offer to conclude a contract. The contract is concluded upon express order confirmation, shipping confirmation, delivery of the goods or any other unequivocal acceptance by VR T-POWER.

For orders placed by e-mail, by telephone or via other sales channels, the conclusion of the contract is governed by the respective offer and declaration of acceptance.

For sales via online marketplaces, the technical procedures provided there for the conclusion of contracts apply additionally.

All offers are subject to actual availability.

§ 6 Storage of the contract text

Where the contract is concluded via an online shop, the order data are stored within the limits of what is legally and technically possible. The customer will, as a rule, receive the information relevant to the contract in text form.

§ 7 Amendments to the General Terms and Conditions

A contract is governed by the General Terms and Conditions incorporated at the time of its conclusion. The right to make amendments for future contracts is reserved.

§ 8 Customer account

Where a customer account is offered, the customer is obliged to provide accurate information when registering and to protect their login credentials against unauthorised access.

§ 9 Prices

All prices stated to consumers are, as a rule, total prices including statutory VAT, unless expressly stated otherwise.

§ 10 Shipping costs

Any additional shipping costs will be displayed to the customer before the order is placed. For deliveries outside the European Union, additional customs duties, taxes and charges may be incurred, which are to be borne by the customer unless otherwise provided by law.

§ 11 Payment methods

The payment methods available in each case are displayed in the online shop or in the specific offer. There is no entitlement to any particular payment method.

§ 12 Due date

The purchase price is due at the time specified in the ordering process, in the invoice or in the offer.

§ 13 Default in payment

In the event of default in payment, the statutory provisions apply.

§ 14 Retention of title

The goods delivered remain the property of VR T-POWER until payment has been made in full.

§ 15 Set-off

The customer may set off counterclaims in accordance with the statutory provisions.

§ 16 Right of retention

Rights of retention may be exercised in accordance with the statutory provisions.

§ 17 Invoicing

Invoices may be provided to the customer in electronic form, insofar as legally permissible.

§ 18 Vouchers and discount promotions

Supplementary promotional terms may apply to vouchers, discount codes and special promotions. Cash payment is excluded, unless otherwise required by law.

§ 19 Product information and technical changes

Product images may differ slightly from the product delivered. Technical changes are reserved, provided that they do not impair the agreed quality and are reasonable for the customer.

§ 20 Delivery

Delivery is made to the delivery address specified by the customer, unless otherwise agreed.

§ 21 Delivery periods

The delivery times applicable in each case are stated in the offer or in the ordering process. Binding delivery dates require a corresponding agreement.

§ 22 Obstacles to delivery

If, after conclusion of the contract, unforeseeable obstacles to delivery arise for which VR T-POWER is not responsible, the statutory provisions apply. The customer will be informed of any significant delays.

§ 23 Reservation of self-supply

If, despite a properly concluded congruent covering transaction, VR T-POWER is not supplied through no fault of its own, the statutory rights of the parties remain decisive. Payments already made will be refunded without undue delay in the event of a justified termination of the contract.

§ 24 Partial deliveries

Partial deliveries are permissible insofar as they are reasonable for the customer and do not result in unreasonable additional costs.

§ 25 Transfer of risk

In the case of consumers, the risk of accidental loss or accidental deterioration as a rule passes only upon handover of the goods to the customer or to a recipient designated by the customer; mandatory special statutory provisions remain unaffected.

§ 26 Default of acceptance

If the customer is in default of acceptance, the statutory provisions apply.

§ 27 Transport damage

The customer is requested to report any visible transport damage to the delivery agent as promptly as possible and to inform VR T-POWER. Failure to make such a report does not affect the consumer’s statutory warranty rights.

§ 28 Force majeure

In the event of force majeure or other extraordinary circumstances for which VR T-POWER is not responsible, the rights and obligations of the parties are governed by the statutory provisions.

§ 29 Export and import regulations

For cross-border deliveries, the applicable statutory export, import, customs and sanctions regulations must be observed.

§ 30 Technical development

VR T-POWER may further develop its products technically. The customer’s statutory rights and the agreed quality remain unaffected.

§ 31 Right of withdrawal

In the case of distance contracts, consumers are, as a rule, entitled to the statutory right of withdrawal. Details are set out in the separate instructions on withdrawal and the model withdrawal form.

§ 32 Exclusion or expiry of the right of withdrawal

The right of withdrawal may be excluded or may expire prematurely in the cases provided for by law. This may concern in particular goods that are individually manufactured or clearly personalised, as well as certain digital content.

In the case of digital content, the premature expiry of the right of withdrawal is governed exclusively by the statutory requirements, including the customer’s required express consent and acknowledgement.

§ 33 Returns

Returns in connection with a withdrawal or a complaint are to be made in accordance with the instructions on withdrawal or the statutory requirements, as applicable.

§ 34 Refunds

Refunds are made in accordance with the statutory provisions and, as a rule, using the same means of payment as was used for the initial transaction, unless otherwise agreed.

§ 35 Examination of the goods

Within the scope of their right of withdrawal, the consumer may examine the goods to the extent necessary to establish their nature, characteristics and functioning. For any handling beyond this, compensation for loss of value may be owed in accordance with the statutory provisions.

§ 36 Individually configured products

In the case of products manufactured individually to customer specifications or clearly tailored to personal needs, the right of withdrawal may be excluded in accordance with the statutory provisions.

§ 37 Digital content, software and rights of use

Where software, firmware, engine maps or other digital content are provided, the customer receives the rights of use specified in the offer or in separate licence terms. Copyrights and other intellectual property rights remain with VR T-POWER or the respective rights holders.

§ 38 Software updates

Where statutory update obligations exist, the necessary updates will be provided in accordance with the statutory provisions. Supplementary update or licence terms may be agreed.

§ 39 Vehicle-specific configuration

For vehicle-specific products, the customer is obliged to provide the vehicle data required for product selection completely and accurately. The specific suitability is determined by the product description and the agreed quality.

§ 40 Return of programmed devices

For programmed or configured devices, the statutory provisions apply to withdrawal, return and warranty rights. A statutory right of withdrawal may not be restricted by these General Terms and Conditions.

§ 41 Statutory liability for defects

The statutory warranty rights apply.

§ 42 Complaints

When making a complaint, the customer should, where possible, provide the order or invoice number, product name, description of the fault, vehicle data and – where useful – photos, videos or diagnostic information. Statutory rights are not made conditional on this.

§ 43 Subsequent performance

In the event of a defect, the consumer is entitled to the statutory rights to subsequent performance. The choice and execution of subsequent performance are governed by the statutory provisions.

§ 44 Causes other than a material defect

There is no material defect where an impairment of function is based exclusively on circumstances that cannot be attributed to the agreed quality of the product or the quality owed by law, such as subsequent improper modifications or defects of the vehicle not caused by the product. The statutory rules on the burden of proof remain unaffected.

§ 45 Installation

Products whose installation requires special expertise should be fitted professionally in accordance with the installation and safety instructions. Statutory warranty and liability rights remain unaffected.

§ 46 Vehicle condition

The customer is responsible for ensuring that the vehicle is maintained in accordance with the manufacturer’s specifications and operated in a condition suitable for the intended use. This does not affect mandatory statutory rights in respect of a defective product.

§ 47 Motorsport and racing products

Products expressly labelled as intended exclusively for motorsport, racing or non-public areas of use may only be used within the framework of the statutory provisions applicable thereto. The respective product labelling and documentation must be observed.

§ 48 Operating permit and registration

Depending on the product and the vehicle, the use of tuning products may affect the vehicle’s operating permit, registration, technical inspection or registration requirements. The respective product documentation and the statutory provisions are decisive.

§ 49 Emissions and environmental regulations

Products may only be used within the framework of the applicable emissions, environmental and vehicle approval regulations. Statements on the permissibility of a specific product are set out in its product description and, where applicable, in any available approval or test documents.

§ 50 Software and engine map optimisation

In the case of software-based changes to performance or functions, the product-specific instructions, vehicle requirements and statutory requirements must be observed. Mandatory statutory rights of the customer remain unaffected.

§ 51 Voluntary guarantees

Where VR T-POWER or a manufacturer grants a voluntary guarantee, its content, duration, territorial scope and conditions are determined exclusively by the respective guarantee statement. Statutory warranty rights exist independently of this.

§ 52 Guarantee exclusions

Any exclusions from a voluntary guarantee are governed exclusively by the respective guarantee terms and do not affect the statutory warranty rights.

§ 53 Inspections

In the event of a complaint, VR T-POWER may request a technical inspection of the product, insofar as this is necessary to examine the alleged defect and is reasonable for the customer.

§ 54 Technical development

Technical developments and product changes are reserved within the limits permitted by law.

§ 55 Liability

VR T-POWER has unlimited liability for intent and gross negligence and for culpable injury to life, body or health.

In the event of a slightly negligent breach of material contractual obligations, liability is limited, in accordance with the statutory provisions, to the foreseeable damage typical for the contract, insofar as such a limitation is permissible.

Mandatory statutory liability, in particular under product liability law, remains unaffected.

§ 56 Vehicle damage

The statutory liability rules apply to damage to vehicles. Liability for damage demonstrably caused exclusively by improper installation, impermissible modifications or use other than as intended exists only in accordance with the statutory provisions.

§ 57 Software-related liability

For damage in connection with software, firmware or digital content, the statutory liability provisions and, where applicable, any supplementary licence terms that have been validly incorporated apply.

§ 58 Intellectual property

Trademarks, logos, texts, images, technical documents, software, firmware, engine maps and other protected content may only be used within the scope of the rights of use granted. Mandatory statutory rights of use remain unaffected.

§ 59 Data protection

Information on the processing of personal data is contained in the current privacy policy of VR T-POWER.

§ 60 Consumer dispute resolution

Information on participation in dispute resolution proceedings before a consumer arbitration board is provided on the website or in the legal notice in accordance with the applicable statutory information obligations.

§ 61 Applicable law

The law of the Federal Republic of Germany applies. For consumers, this choice of law applies only insofar as it does not deprive them of the protection afforded by mandatory provisions of the law of the state in which they have their habitual residence.

§ 62 Place of jurisdiction

For consumers, the statutory rules on the place of jurisdiction apply.

§ 63 Final provisions

Should any provision of these General Terms and Conditions be or become invalid in whole or in part, the validity of the remaining provisions remains unaffected. Invalid provisions are replaced by the statutory provisions.

§ 64 Amendments

VR T-POWER may amend these General Terms and Conditions for future contracts. For contracts already concluded, the version incorporated at the time the contract was concluded generally remains decisive.

§ 65 Entry into force

These General Terms and Conditions apply from their publication to newly concluded consumer contracts of VR T-POWER UG (haftungsbeschränkt), insofar as they are validly incorporated into the respective contract.
